These Partner Program Terms govern participation in the AminoHaus Partner Program (the “Program”). By applying, creating or using a partner code, or otherwise participating in the Program, you agree to these Terms and to the AminoHaus Terms and Conditions and Disclaimer.
1. Eligibility
You must be at least 21 years old and legally able to enter into this agreement.
You agree to provide accurate contact, payment, identity, and tax information. AminoHaus may decline or terminate an application involving inaccurate information, previous Program violations, fraudulent activity, or material legal or compliance concerns.
2. Independent Partner Relationship
You participate as an independent partner. Nothing in these Terms creates an employment, agency, partnership, franchise, or joint-venture relationship.
You may not:
- Enter into agreements on behalf of AminoHaus
- Accept payments for AminoHaus
- Represent yourself as an employee or official spokesperson
- Make guarantees or commitments on behalf of AminoHaus
- Create websites, accounts, usernames, or domains that could reasonably be mistaken for official AminoHaus properties
3. Partner Commission and Customer Discount
Approved partners receive:
- 10% commission on eligible purchases attributed to their partner code or referral link
- A 10% discount for customers who use the partner’s code at checkout
Commission is calculated from the eligible merchandise subtotal after discounts and before taxes, shipping charges, shipment-protection charges, account credits, refunds, chargebacks, or other non-product charges.
Orders placed by the partner for personal use, fraudulent orders, duplicate transactions, canceled orders, fully refunded orders, and chargebacks are not eligible for commission. Partially refunded orders will have the related commission adjusted proportionally.
Partner codes may be combined with other promotional codes only where checkout expressly permits the combination. Where combination is not permitted, the code accepted at checkout controls attribution and commission eligibility.
4. Referral Attribution
A qualifying purchase may be attributed through a partner code entered at checkout or through a tracked referral link.
Attribution window. A tracked referral link attributes a purchase completed within 30 days of the customer’s most recent click on that link. Where a customer enters a partner code at checkout, that code controls attribution regardless of the referral window.
Technical issues, disabled cookies, customer device changes, browser privacy settings, or the use of another promotional code may prevent automatic tracking. Partners may report a suspected tracking error within 30 days of the order date.
AminoHaus will reasonably review properly documented attribution disputes but cannot guarantee attribution when reliable tracking information is unavailable.
5. Payouts
Approved commissions are paid monthly according to the schedule displayed in the partner dashboard.
Minimum payout threshold: $50. Balances below the threshold roll forward to the next payout period.
Review period. Commissions remain pending for 30 days after the order date to account for delivery, cancellations, refunds, chargebacks, fraud screening, and payment-processing delays.
AminoHaus may hold only the commissions reasonably connected to:
- A disputed or refunded order
- Suspected fraud or manipulation
- Missing or inaccurate payment information
- An unresolved compliance violation
- A legal, tax, processor, or regulatory requirement
Where reasonably possible, AminoHaus will provide the partner with the reason for a material payout hold and an opportunity to respond.
Legitimate, undisputed commissions earned before termination will ordinarily remain payable after the applicable review period. Commissions connected to fraud, self-referrals, chargebacks, prohibited conduct, or material violations may be canceled.
Dormant balances. If a partner fails to provide required payment or tax information, or the account is otherwise unreachable, for 12 consecutive months after a commission becomes payable, AminoHaus may close the account and forfeit the unpaid balance to the extent permitted by applicable law, including any applicable unclaimed-property law. AminoHaus will attempt to contact the partner at the email on file before doing so.
6. Taxes and Payment Verification
Partners are responsible for reporting and paying taxes associated with their earnings.
Before issuing payment, AminoHaus or its payment provider may request identity verification and applicable tax documentation, including a Form W-9, W-8BEN, W-8BEN-E, or equivalent.
Payment may be delayed until the required information is complete and verified. AminoHaus may issue tax-reporting forms when required by law.
7. Responsible Promotion
Partners may share their referral links and codes through lawful social-media content, websites, videos, communities, messages, and other appropriate channels.
All statements must be honest, accurate, and based on information AminoHaus has made publicly available or approved.
Partners must include a research-use notice in any content promoting AminoHaus products. An acceptable notice is: “For laboratory research use only. Not for human or veterinary use.” The notice must be reasonably visible in the same content as the promotion.
Partners may not:
- Make false, deceptive, exaggerated, or unsupported claims
- Claim that a product diagnoses, treats, cures, or prevents any disease or medical condition
- Make therapeutic, weight-loss, performance, hormonal, or anti-aging claims
- Provide medical advice or represent themselves as speaking for AminoHaus
- Provide dosing, injection, administration, reconstitution, or treatment instructions on behalf of AminoHaus
- Represent research products as approved for human consumption or therapeutic use
- Depict or describe personal administration of a product to themselves or another person or animal
- Misstate product testing, purity, availability, pricing, discounts, or promotions
- Promote products in a way that violates applicable law or the rules of the platform being used
- Direct promotional content primarily toward minors or toward anyone under 21
Partners may discuss genuine opinions and experiences where lawful, but must clearly distinguish personal commentary from official AminoHaus information and must not make prohibited medical, therapeutic, or human-use claims.
8. Partner Disclosures
Partners must clearly disclose their financial relationship with AminoHaus whenever required by law or platform policy, consistent with FTC endorsement guidance.
An appropriate disclosure may include:
- “I earn a commission when you use my code.”
- “Affiliate link”
- “#affiliate”
- “#ad”
The disclosure must be easy to notice and placed near the partner link, code, recommendation, or endorsement — not buried in a comment, a bio, or the end of a caption.
9. Prohibited Activity
Partners may not engage in:
- Self-referrals intended primarily to generate commission
- Fake orders, clicks, accounts, or customer identities
- Cookie stuffing or unauthorized tracking
- Spam or unsolicited bulk messaging, including messaging that violates the CAN-SPAM Act or TCPA
- Misleading advertisements or impersonation
- Unauthorized use of customer information
- Bidding on AminoHaus trademarks in paid-search advertisements without written approval
- Registering confusingly similar domains or social-media accounts
- Offering unauthorized rebates, cash-back arrangements, or fabricated discounts
- Interfering with another partner’s attribution
- Any activity intended to manipulate commissions or Program metrics
10. Use of AminoHaus Branding
AminoHaus grants approved partners a limited, nonexclusive, revocable right to use approved names, product images, links, logos, and promotional materials solely to participate in the Program.
Partners may resize approved materials as reasonably necessary but may not materially alter AminoHaus branding, create misleading advertisements, or imply an official partnership beyond participation in the Partner Program.
This permission ends when the partner leaves or is removed from the Program. Within 10 days of termination, the partner must remove AminoHaus branding, product images, active partner links, and codes from all content and properties under their control.
11. Warnings, Suspension, and Termination
AminoHaus will generally use a reasonable, progressive enforcement process:
- Warning — used for minor or first-time correctable issues.
- Strike — used for repeated or more serious violations.
- Suspension or termination — normally used after three active strikes, or when a serious violation occurs.
A strike remains active for 12 months from the date it is issued, after which it no longer counts toward suspension.
Where practical, the partner will be informed of the issue and allowed a reasonable opportunity to correct it.
AminoHaus may immediately suspend an account where necessary to investigate suspected fraud, protect customers, comply with law, or prevent serious harm. Immediate termination may occur for fraud, intentional deception, repeated prohibited claims, commission manipulation, unlawful conduct, or other material violations.
Partners may appeal a warning, strike, suspension, or termination by contacting partners@aminohaus.com within 30 days. AminoHaus will review the appeal in good faith.
Either party may end participation in the Program at any time. Termination does not eliminate payment of valid, undisputed commissions earned before termination.
12. Reviews and Cooperation
AminoHaus may reasonably review partner content, traffic sources, referred transactions, payment activity, and related Program records to confirm compliance.
Partners agree to cooperate with reasonable investigations and, where appropriate, correct or remove noncompliant content within the timeframe provided by AminoHaus.
Failure to cooperate with a legitimate investigation may result in a payout hold, suspension, or termination.
13. Intellectual Property and Confidentiality
AminoHaus retains all ownership rights in its names, trademarks, designs, product images, website content, and other proprietary materials.
Partners must protect material nonpublic information specifically identified as confidential, including unreleased products, private customer information, internal business plans, and nonpublic Program data. This obligation continues for three years after the partner leaves the Program.
Publicly available information, a partner’s own earnings, and information independently developed or lawfully obtained from another source are not confidential under this section.
14. Partner Responsibility
Partners are responsible for their own content and conduct. Partners agree to reimburse AminoHaus for reasonable losses, claims, penalties, or legal expenses directly resulting from the partner’s fraud, willful misconduct, unlawful activity, prohibited medical or therapeutic claims, infringement of third-party rights, or material breach of these Terms.
AminoHaus will provide reasonable notice of a covered claim and will not require reimbursement for losses caused primarily by AminoHaus’s own conduct.
15. Program Availability and Limitation of Liability
AminoHaus will make reasonable efforts to maintain accurate referral tracking and reliable Program access, but uninterrupted operation is not guaranteed.
To the extent permitted by law, neither party will be liable to the other for indirect, incidental, punitive, or consequential damages arising from participation in the Program.
Nothing in these Terms limits liability that cannot legally be limited, including liability arising from fraud or intentional misconduct.
16. Changes to the Program
AminoHaus may update these Terms, commission rates, discount amounts, eligibility requirements, or Program features.
Material changes will apply prospectively and will be communicated through email, the partner dashboard, or another reasonable method before taking effect whenever practical.
Changes will not retroactively reduce commissions already earned from eligible completed transactions.
Continued participation after the effective date of an update constitutes acceptance of the revised Terms.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Before filing a formal claim, both parties agree to make a good-faith attempt to resolve the dispute through written communication for at least 30 days after written notice.
Except for qualifying individual small-claims matters and requests for emergency injunctive relief, any unresolved dispute arising from these Terms or the Program will be resolved through final and binding individual arbitration administered by the American Arbitration Association, before one arbitrator in California, USA or remotely by video. The arbitrator may not consolidate unrelated claims or conduct a class or representative proceeding.
For disputes not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in California, USA.
18. General Provisions
If one provision of these Terms is found unenforceable, the remaining provisions remain effective.
A failure to enforce a provision on one occasion does not waive the right to enforce it later.
Partners may not transfer their account or rights under these Terms without written approval. AminoHaus may transfer the Program agreement as part of a merger, sale, restructuring, or transfer of the business.
These Terms, together with any Program policies incorporated by reference, represent the complete agreement regarding participation in the AminoHaus Partner Program.
